Terms of Use

1. What ResThreads is

ResThreads provides software that lets apartment communities publish resident-ambassador profiles and let prospective renters chat with those residents, with lead capture, attribution, moderation, and aggregated insights for property management. ResThreads is a software provider; it is not a real estate broker, leasing agent, or property manager, and it does not make housing decisions.

2. Accounts and eligibility

• You must be at least 18 years old to create an account or participate as a resident ambassador, and at least 13 to use the widget as a visitor.
• You are responsible for your account credentials and for activity under your account.
• Property managers are responsible for having appropriate rights and permissions to publish community and resident information through the Services.

3. Resident ambassadors and conversations

• Resident ambassadors speak for themselves. Their statements are personal opinions and experiences, not representations, warranties, or offers by the community, its management, or ResThreads.
• Conversations are private to their participants and are automatically screened for safety, personal contact information, solicitation, and fair-housing compliance. Flagged content may be reviewed to enforce these terms.
• Rewards for resident ambassadors, where offered, are set by the community and subject to its rules and applicable law.
• Pricing, availability, lease terms, and applications are handled by the community's leasing team, not through resident conversations.

4. Acceptable use

You agree not to:

• Use the Services to harass, deceive, discriminate, solicit, or spam.
• Exchange or attempt to exchange personal contact information through the widget in circumvention of platform guardrails, or arrange transactions outside the platform where the Services are designed to keep them on it.
• Make statements in violation of fair-housing laws, or encourage others to.
• Probe, scrape, reverse engineer, overload, or interfere with the Services or their security.
• Impersonate others or misrepresent your affiliation.

5. Fair housing

The Services include automated screening designed to support fair-housing compliance, but each community and its management remain responsible for their own compliance with the Fair Housing Act and applicable local laws. Nothing in the Services constitutes legal advice.

6. Fees

Fees for property managers are set out in the applicable order or subscription, and may include recurring subscription fees and per-lease success fees based on attributed leases. Fees are exclusive of taxes unless stated otherwise.

7. Content and intellectual property

• The Services, including software, design, and branding, are owned by ResThreads and its licensors.
• You retain rights in content you submit and grant ResThreads a license to host, process, display, and analyze it as needed to provide the Services, including producing aggregated, anonymized insights.
• Communities grant ResThreads the right to display community names, branding, and configuration within the Services.

8. Disclaimers

The Services are provided "as is" and "as available." ResThreads disclaims all warranties to the maximum extent permitted by law, including merchantability, fitness for a particular purpose, and non-infringement. ResThreads does not guarantee leasing outcomes, response times from residents, or the accuracy of statements made by any user.

9. Limitation of liability

To the maximum extent permitted by law, ResThreads will not be liable for indirect, incidental, special, consequential, or punitive damages, or lost profits, revenues, or data. ResThreads' total liability for claims relating to the Services will not exceed the amounts paid to ResThreads for the Services in the twelve months before the claim arose, or one hundred dollars if no amounts were paid.

10. Termination

You may stop using the Services at any time. ResThreads may suspend or terminate access for violations of these terms, risk to other users, or as required by law. Sections that by their nature should survive termination survive it.

11. Governing law

These terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in it, without regard to conflict-of-laws rules. Courts located in Toronto, Ontario have exclusive jurisdiction, and each party consents to their jurisdiction.

12. Changes to these terms

We may update these terms from time to time. If we make material changes, we will update the "Last updated" date and may provide additional notice where appropriate. Continued use of the Services after changes take effect constitutes acceptance.
